Grapevine Terms & Conditions

The terms of use (“Terms”) contained herein govern the use of services (“Services”) provided by all platforms affiliated with WaterCooler Chat Pvt. Ltd. (“Grapevine”, “we”, “us”, “our”) an Indian Company with its registered office at B704, Rajshree Avenue, Jairaj Nagar, Borivali West , Mumbai, Maharashtra 400092 including but not limited to the Website, the application (Appstore, Playstore), Twitter handle, (collectively referred to as the “Platforms”), effective from 20th July 2023 (“Effective Date”)

These terms are binding on the Users of Grapevine (“you”, “your”, “User(s)”) which includes any person or entity who accesses, registers, downloads, browses, or uses in any form, general or specific, the Services provided by Grapevine, through its Platforms. Please read them carefully before using the Services provided by Grapevine on all of our platforms.

The User acknowledges and agrees that the User has read the Terms carefully, understands its meaning and intent, and is aware and accepting of all the Terms contained herein and the Grapevine Privacy Policy [link] before using the Platforms.

If the User does not agree to the Terms or perform any/all obligations accepted under the Terms, then the User may not access or use the Services or the Platforms of Grapevine.

Definitions and interpretation

  1. “Action” means any claim, action, cause of action, demand, lawsuit, arbitration, inquiry, audit, examination, a notice of violation, proceeding, litigation, citation, summons, subpoena, or investigation of any nature, civil, criminal, administrative, regulatory or otherwise, whether at law or in equity.
  1. “Affiliate(s)” means any person or entity directly or indirectly, employed or engaged on a contractual basis, or in any other similar way related to Grapevine.
  1. "Applicable Law(s)" means any and all applicable substantive and procedural laws including but not limited to, the Laws of India and other relevant laws applicable to the User(s).
  1. Content” means any creation written, drafted, posted, sent, or delivered by any of the Users of the Platform.
  1. “Grapevine Account” means the login account of the User created with Grapevine for the use of its Services.
  1. “User”, may refer to any person (individual or otherwise) who engages with the Grapevine Platforms;
  1. “Visitor” shall include lurkers, visitors and/or readers who inter-alia browse, read and watch content provided by Grapevine.


  1. Grapevine provides a platform for professionals to discuss and propagate ideas about their work and workplaces. The Users have the ability to use the platform independently and anonymously. Grapevine acts as a social media intermediary platform to provide these Services.
  1. The User details are encrypted by a hashing mechanism, and cannot be reverse-engineered to extract the User’s details from the Platform. Grapevine is not liable for any Content on the Platforms that have been produced by any of its Users.
  1. If any User of the Platform posts or delivers any Content which may contain or seem to contain any false, unpublished price-sensitive, harmful information, no liability for the same shall be attributable to Grapevine. Grapevine has no control or censorship over the Content produced by its Users. Further, Grapevine maintains the absolute anonymity of its Users. Thus the Platform or its Developers may be unable to track down the identity of any of its anonymous Users.


We are committed to protecting your privacy. Grapevine does not store any data (such as your phone number or email address) that lets us or any other third party identify your real identity.

  1. Grapevine’s privacy policy (Grapevine privacy Policy) describes how the information that the User provides to us when they use our Services, is handled. By using our Services, the User consents to the collection and use of their data as set forth by the privacy policy.
  1. It is the responsibility of the User to keep their device and access to Grapevine’s Platforms secure. It is recommended that the User should not jailbreak or root their device, which is the process of removing software restrictions and limitations imposed by the official operating system of their device. It could make the User’s device vulnerable to malware/viruses/malicious programs, and compromise the said device’s security features. It could mean that the Grapevine Platforms won’t work properly or at all.

User eligibility

  1. The User accessing the Grapevine Platforms hereby represents and warrants that the User has completed the age of majority in their jurisdiction or eighteen (18) years of age and is competent to enter into the terms, conditions, and obligations set forth under these Terms.
  1. Any User below the age of Eighteen (18) is not permitted to engage with Grapevine.
  1. The User shall not be eligible for using the Services if the User is located in, or is a citizen or resident of any state, country, territory, or other jurisdiction where the use of the Services would be illegal or otherwise violate any applicable laws.
  1. Where an account is created for a legal entity that is not a natural person, the User represents that they have full authorization and legal authority to accept the present Terms of Use on behalf of the said legal entity.
  1. The User may be required to create an account to use the services provided by Grapevine. The User shall not make any username that breaches the User Code of Conduct under these Terms while choosing their username.

Basic use requirements

  1. The User shall require a compatible mobile phone, internet, or any other supported devices ("Devices") and enabling facilities that meet certain system and compatibility requirements, which may change from time to time, to use the Services.
  1. The User’s ability to use Grapevine and the performance of Grapevine Services may be affected by these factors. The User agrees that the User is solely responsible for such requirements, including any applicable charges, updates, fees, and all other terms provided under the User’s agreement with their Devices and/or telecommunications provider. Grapevine shall not be responsible for any lapse of security due to internet issues or issues with the Device(s).
  1. Our Services are currently available on Android & iOS. The requirements for both systems(and for any additional systems we decide to extend the availability of the app to) may change, and the User will need to download the updates to keep using our Services. Grapevine does not promise that it will always update its Services and therefore, the User is responsible to ensure that the system requirements of their device are compatible with the use of our Services. The User also represents to always accept updates when offered to You by Grapevine.

User code of conduct

  1. Obligations and Prohibited Actions:
    1. The User shall not use any material that is false, offensive, harmful, obscene or pornographic, hateful, defamatory, libelous, derogatory, abusive, threatening, or in any other way illegal or infringing upon the legal rights of others, in violation of this clause.
    1. The User shall not impersonate any other natural or legal person, use their identification or contact details, create accounts in their name, or falsely state or misrepresent any association or affiliation with such persons.
    1. The User shall only maintain one account reflecting their true employment and employment history.
    1. The User shall not post any Content which may contain any Unpublished Sensitive Information about their workplace or any other Company that they may have information about. If any such Content is posted by a User, there shall be no liability attributable to the Platform. The Platform and its Affiliates have no duty to censor or delete such Content. However, Grapevine may, in its discretion, choose to censor such Content once the existence of such Content has been brought to their notice at their absolute discretion.
    1. Users shall be civil and respectful of other Users and shall not display any deliberately unpleasant, repetitive, or irrelevant behavior;
    1. Users shall not reveal identifiable information about other Users of Grapevine unless explicitly permitted by them to do so;
    1. Users shall not use or solicit another party to use Grapevine Platforms, directly or indirectly, for any purpose which is prohibited by their applicable law, rule, regulation or guideline.
    1. The User shall not interfere with security-related features of the Platforms, including but not limited to
      1. disabling or circumventing features that prevent or limit use or copying of any content; or
      1. reverse engineering or otherwise attempting to discover the source code of any portion of the Platforms except to the extent that the activity is expressly permitted by applicable law. Any attempt at such interference shall attract a ban from the Platforms and other actions.
      1. develop, support, or use software, devices, scripts, robots or any other means or processes to scrape the Services or otherwise copy profiles and other data from the Service.
    1. Users are account holders. You agree to: (1) use a strong password and keep it confidential; (2) not transfer any part of your account and (3) follow the law and Code of Conduct. You are responsible for anything that happens through your account unless you close it or report misuse.
    1. The User shall not collect, generate, or affect in any way usernames or email addresses using bots or any other methods or sell or transfer the User profile to any person or entity.
    1. The User shall not use or solicit another party to use Grapevine or its Platforms, directly or indirectly, for any purpose which is prohibited by applicable laws, rules, regulations, or guidelines and/or is in violation of this clause.
  1. The User shall not monitor the Services’ availability, performance, or functionality for any competitive purpose.
  1. The User shall not use bots or other automated methods to access the Services, add or download contacts, or send or redirect messages.
  1. The User shall not violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights.
  1. The User shall not violate the intellectual property rights of Grapevine, including but not limited to, copyrights, patents, trademarks, trade secrets, or other proprietary rights.
  1. The User shall not license, sell, or transfer their Account without the written approval of Grapevine.
  1. The User is granted a personal, non-transferable, non-exclusive, revocable, limited license to (a) install and use a copy of the Grapevine application associated with the Services that is obtained from a legitimate marketplace on a mobile device owned or controlled by the User; and (b) access and use the Services. All rights not expressly granted to the User by these Terms are reserved in favor of Grapevine.
  1. By submitting, posting, or displaying Content on or through the Services, You grant Grapevine a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods now known or later developed (for clarity, these rights include, for example, curating, transforming, and translating). This license authorizes Grapevine to make your Content available to the rest of the world and to let others do the same. You agree that this license includes the right for Grapevine to provide, promote, and improve the Services and to make Content submitted to or through the Services available to other companies, organizations, or individuals for the syndication, broadcast, distribution, promotion or publication of such Content on other media and services. Such additional uses by Grapevine, or other companies, organizations, or individuals, are made with no compensation paid to the User with respect to the Content submitted, posted, transmitted or otherwise made available through the Services as the use of the Services by the User is hereby agreed as being sufficient compensation for the Content and grant of rights herein.
  1. Except and solely to the extent such a restriction is impermissible under applicable law, the User may not, without a written agreement with Grapevine or any of Grapevine’s affiliates (a) license, sell, transfer, assign, distribute, host, or otherwise commercially exploit the Services or any content on the mobile application; (b) modify, prepare derivative works of, disassemble, decompile, or reverse engineer any part of the Services; or (c) access the Services or Content in order to build a similar or competitive website, product, or service
  1. The User represents and warrants that they have obtained all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights granted herein for any Content that you submit, post or display on or through the Services. You agree that such Content will not contain material subject to copyright or other proprietary rights, unless you have necessary permission or are otherwise legally entitled to post the material and to grant Grapevine the license described above.
  1. The User shall not post anything that contains software viruses, worms, or harmful code.

User content

  1. The Services provided by Grapevine may contain information, text, links, graphics, photos, videos, audio, streams, or other materials (“Content”), including Content created with or submitted to the Services by the User or through the User’s Account (“Your Content”). Grapevine takes no responsibility for and Grapevine does not expressly or implicitly endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any of Content produced by the User.
  1. The User retains any ownership rights they have in the Content produced by them, but You grant Grapevine the following license to use that Content:
    1. When User Content is created with or submitted to the Services, the User grant Grapevine a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sub-licensable license to use, copy, modify, adapt, prepare derivative works of, distribute, store, perform, and display such Content and any name, username, voice, or likeness provided in connection with such Content in all media formats and channels now known or later developed anywhere in the world. This license includes the right for us to make such Content available for syndication, broadcast, distribution, or publication by other companies, organisations, or individuals who partner with Grapevine. The User also agrees that Grapevine may remove any data or metadata associated with Content produced by the User and that the User irrevocably waives any claims and assertions of moral rights or attribution with respect to their Content.

Third-party content and services

  1. The User may interact with third parties applications and . Grapevine may integrate such third-party applications such as Telegram, Instagram, Youtube, Twitter or Discord and/or similar apps with their Platforms for User convenience.
  1. Such Third Party applications are not under the control of Grapevine, and Grapevine is not responsible for any third party’s websites, products, or services. The User’s use of Third Party applications, products, or services is at their own risk and the User should make an endeavor to make any investigation they may feel necessary before proceeding with any transaction in connection with such Third Party applications, products, or services.
  1. Grapevine shall not be responsible for examining or evaluating the content, accuracy, completeness, availability, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect of third-party materials or websites.
  1. The use of third-party services is governed by their respective terms of service and not by these Terms. The User bears the sole and exclusive responsibility of accepting and complying with their respective terms of service, fees, and charges.
  1. Grapevine does not warrant, endorse, or assume any responsibility for third-party materials and shall not have any liability to the User or any other person for any third-party services, websites, or other materials or products.
  1. The User may incur charges or fees from third parties for the use of third-party services. Grapevine receives no part of such charges and shall under no circumstances incur any liability arising out of or relating to such third-party charges.

Assumption of risk

The User acknowledges and accepts the following:

  1. Grapevine services may be subject to technological interference, including but not limited to, downtime on any third-party platform accessed by the User via Grapevine, or its Platforms, network uptime, and network interference.
  1. Any use or reliance on any Content or materials posted via the Services or obtained by the User through the Services is at their own risk. Grapevine does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. You understand that by using the Services, You may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive.


  1. The User agrees to indemnify Grapevine, all its Affiliates, and their respective, directors, officers, employees, affiliates, agents, contractors, third-party service providers, and licensors, from any claim or demand made by any/all third parties, arising out of -
    1. User’s use of Services;
    1. User’s breach of the Terms;
    1. Misuse of any service provided by Grapevine and/or Platforms;
    1. Violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities;
    1. Violation of any rights of third parties, including but not limited to intellectual property, confidentiality, privacy, and/or publicity;
    1. Any misrepresentation of fraud on the part of the User.
  1. Grapevine reserves the right to assume, at the User’s expense, the exclusive defence in any matter subject to this clause and indemnification by the User.
  1. The User agrees to cooperate with Grapevine’s defence of any claim under this clause and the User shall not, in any event, settle any claim, without the prior written consent of Grapevine.

Term and termination

  1. The Terms are effective from the Effective Date and shall remain in force until terminated under this clause.
  1. Grapevine reserves the right to terminate the User from using its Platforms without prior notice or liability if the User is found to be in breach of these Terms.
  1. In the event of such termination, Grapevine shall not be liable for any loss of information, damage, or any other loss of similar nature.
  1. The User may request the termination of their account by contacting Grapevine. Upon completion of such request, the User’s right to use the Platforms ceases.
  1. Grapevine reserves the right to discontinue or terminate Grapevine for all Users without placing any liability on the User. In the event of such termination, not resulting out of a violation by the User, Grapevine may notify the User regarding the same.

Limitation of Liability

  1. Grapevine or its Affiliated Parties and their respective, directors, officers, employees, affiliates, agents, contractors, third-party service providers, and licensors, shall not be liable under any circumstances for any lost profits or any special, incidental, indirect, or consequential damages, whether based on contract, tort, negligence, strict liability, or otherwise, arising out of or in connection with these Terms or otherwise even if an authorized representative of Grapevine has been advised or should have known of the possibility of such damages.
  1. Grapevine or its Affiliated Parties and their respective, directors, officers, employees, affiliates, agents, contractors, third-party service providers, and licensors, shall not be liable for any non-payment or failed transaction by a Fiat Gateway. Any transaction or agreement through the Platform shall be treated as a separate agreement between the User and the Fiat Gateway, with no liability attributable to the Platform.
  1. We only agree to perform such duties as are expressly set forth in these Terms, and no other duties will be implied. We have no liability under, and no duty to inquire as to, the provisions of any agreement, other than the Terms of Service.
  1. The User understands and agrees that, to the fullest extent permitted by applicable law, neither Grapevine, its Affiliates nor or its Affiliated Parties and their respective, directors, officers, employees, affiliates, agents, contractors, third-party service providers, and licensors, shall be liable to the User for any direct, indirect, incidental, special, punitive, exemplary or other damages of any kind, including but without limitation to damages for loss of profits, goodwill, or other tangible or intangible losses or any other damages. This includes but is not limited to:
    1. any damage, resulting from the Platforms;
    1. conduct of any third party on the Platform;
    1. any actions taken by Grapevine or failure thereof;
    1. human errors or technical malfunctions;
    1. any loss, damage, or injury, direct or indirect arising out of forgotten passwords, server failure, malfunction, misuse of service, or intangible losses;
    1. inability to fully access the Platforms or use the Services;
    1. any conduct or content of any user on the services, including without limitation, any defamatory, offensive or illegal conduct of by the users and any content obtained from the Services; or unauthorised access, use or alteration of Your transmissions or content;
    1. the introduction of viruses, worms, or other destructive programs or any other commercial or economic losses; any decision made or action taken by any party in reliance on Grapevine’s data that is processed late or incorrectly or is incomplete or lost.
  1. Grapvine is an intermediary as defined under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. These Terms are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing of the rules and regulations, Privacy Policy, and Terms of Use for accessing and using our Platform. Our role is limited to providing a platform for Users to upload, share and display content, created or shared by You and other Users. Grapevine does not control what Users may post on the platform but Users shall comply with our Community Guidelines.



Force Majeure

  1. Grapevine shall not be liable for compensating inadequate performance of any obligations set forth in these Terms, caused due to force Majeure circumstances.
  1. Force Majeure circumstances include but are not limited to, acts of God, natural or industrial disasters, pandemics, acts of terrorism, power supply failures, civil disorders, military operations, equipment shutdowns, and/or other similar situations that cannot be reasonably foreseen or prevented.

Intellectual property

  1. Grapevine retains all right, title, and interest in all of Grapevine’s intellectual property and all content, including but not limited to, inventions, ideas, concepts, domains, logos, trade dress, source code, discoveries, processes, marks, applications, methods, software, visual interfaces, graphics, information and data, and/or any other intellectual property rights associated with the Platforms of Grapevine, whether or not patentable, copyrightable or protectable in trademark.
  1. Grapevine does not claim any right over the marks and/or intellectual properties associated with any third parties on the Platforms and shall not attract any liability in any/all disputes arising from any use, abuse, or infringement of such marks.
  1. Grapevine welcomes feedback, comments, ideas, and/or suggestions (“Feedback”) for improvement of the Platforms, and such Feedback may be communicated to Grapevine directly. Grapevine shall have an exclusive, perpetual, irrevocable, royalty-free, sub-licensable, and transferable license to use, copy, modify, create derivative works based upon or improvements with respect to such Feedback and otherwise exploit and commercialise the Feedback and any such derivative works and improvements in any manner and for any purpose. Grapevine shall not owe compensation of any nature to the User for such Feedback.

Governing law

  1. Use of Grapevine and these Terms shall be governed by and construed in accordance with the substantive laws of India, without regard to conflict of law principles.
  1. If a lawsuit, court proceeding, or any similar Action is permitted under these Terms, the Users and Grapevine agree to submit to the personal and exclusive jurisdiction of the courts of Bengaluru, India, for the purpose of litigating any dispute.
  1. However, Grapevine retains the right to bring any appropriate Action or proceeding against the User, in the User’s country of residence or any other relevant country. The User acknowledges and agrees to waive any and all objections to the exercise of jurisdiction over the User by such courts and to the venue in such courts.

Dispute resolution and class action waiver

  1. The User may raise their dissatisfaction or complaints with the services provided by Grapevine and its Platforms or seek dispute resolution, via correspondence with Grapevine. Disputes raised shall be resolved by means of correspondence and negotiation between affected parties.
  1. The User waives off any/all right of class action lawsuit, class-wide arbitration, and/or in any other proceeding in which either party acts or proposes to act in a representative capacity shall only bring claims in an individual capacity.
  1. No arbitration or proceeding can be combined with another without the prior written consent of all parties to the arbitration and/or proceeding.
  1. Waiver of any/or all parts of the Terms shall be deemed a continuing or further waiver of any such part or any other part of the Terms, and the User’s failure to assert any rights or part of these Terms shall be deemed or otherwise constitute a waiver of such right or part.
  1. Any cause arising out of these Terms shall commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Waiver of liability

  1. To the fullest extent permitted by applicable law, the User releases Grapevine and its affiliates from responsibility, liability, claims, demands, and/or damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between Users and the acts or omissions of third parties.
  1. The User expressly waives any rights that the User may have under any other statute or common law principles that would otherwise limit the coverage of this waiver to include only those claims that the User may know or suspect to exist in their favor at the time of agreeing to this waiver.

Notices and messages

The User agrees that Grapevine will provide notices and messages to them in the following ways: (1) within the Service, or (2) sent to the contact information provided by the User. The User shall keep their contact information up to date.


Entire agreement

These terms contain all the terms applicable to the User, and supersede all other previous undocumented communication and representation and agreements.


If any clause here is declared unenforceable or invalid by law, then only such clause or part thereof shall be struck, and all the remaining provisions shall remain in full force and effect.


Grapevine may assign these Terms at any time to any entity without notice or consent to the Users. The User may not assign or transfer any of their rights or obligations under these Terms without the consent of Grapevine.

Rights reserved

Grapevine reserves the right to modify, update and/or change the Terms contained herein from time to time. Such changes shall be reflected in the Terms and Conditions of Grapevine and continuing usage shall imply acceptance of the new Terms.

Referral contest terms & conditions

The following referral terms and conditions (“Referral Terms”) shall be read jointly and in addition to the terms and conditions set out in the Terms of Service of Grapevine.

For the purpose of these Referral Terms, (i) the term "We", "Us", “Our” or "Company" shall mean M/s WaterCooler Chat Private Limited ; (ii) the term “Referrer" shall mean the user of Grapevine whose valid Referral Code has been used by a non-user to sign up; (iii) the term "Referral Recipient" or ‘Referee’, for the purposes shall mean the person who signs up for Grapevine using a valid Referral Code; (iv) the term “Customer” or “You” shall mean either the Referrer and the Referral Recipient; (v) The term “Referral Code” shall mean a unique code assigned to the Referrer by the Company; (vii) the term "Referral Program" shall mean the process under which the Referrer or the Referral Recipient uses the Referral Code on Grapevine to avail the Referral Discount.

  1. Eligibility: The Contest is open to every individual above the age of 18 years. Participation is only available to users of Grapevine who are employees of select companies that have the content going on in their private company feed. Employees of Grapevine are not eligible to participate in the Contest.
  1. Participation in the Referral Program is voluntary and any transactions on the Company’s mobile application/Website shall be deemed as acceptance of these Referral Terms.
  1. Referrers can only refer such persons who are not users on Grapevine and share a mutual Employer with them. [For example, an existing user employed at Company X can only provide a Referral Code to a person who has no account with Grapevine and is also employed at Company X].
  1. The contestant shall accept and abide by Grapevine Terms of Services and Privacy Policy.
  1. Referral Reward consisting of a Gift Card up to ₹100 (Rupees Hundred Only) per account will only be paid to the Referrer in case the Referee creates an account and onboards with Grapevine using the Referrer’s referral link. Onboarding shall mean downloading the app, registering an account, verifying the account, and signing up on the Company page.
  1. Referral rewards won't be applicable if the details of the Referee already exist with Grapevine as an existing user. Such accounts will be excluded from the calculation of referral rewards.
  1. Upon successful referral, the Referral Rewards will be credited to the Referrer in the form of a Gift Card, which can be used at the Referrer’s convenience.
  1. A referrer has to make a minimum of 10 (Ten) Referrals to qualify for the grand prizes
  1. The eligible top referrer in a company's private feed will win an iPhone 15. The second highest referrer will receive a pair of Apple AirPods.
  1. We reserve the right to carry out checks and controls as we deem fit and proper before the credit of the Referral Reward to the Referrer.
  1. Grand prizes (Apple iPhone 15 and AirPods) are subject to availability at the time of purchase. We reserve the right to substitute these prizes with other available items if necessary.
  1. Taxes and statutory levies as applicable to the winnings shall be borne by the contestants themselves.
  1. Referrer agrees that the following activities are expressly prohibited and engagement will lead to the initiation of legal action against you, while also resulting in immediate termination and disqualification from the Referral Terms, forfeiture of any existing, active, or accrued Referral Codes:
    1. Spam, bulk distribution, or sharing of Referral Codes in a like manner which would appear to constitute unsolicited commercial communication of features, services, etc., of Grapevine.
    1. Fraud, attempted fraud, or abuse of the Referral Terms.
    1. Selling, trading, bartering, or providing anything of value to a potential Referee beyond the Referral Terms.
